Terms, Conditions and Software Usage Agreement — DANIX

Welcome to DANIX. This document is a legal agreement ("Agreement") between You ("Customer") and CÔNG TY TNHH CÔNG NGHỆ DANIX ("DANIX" or "We"). By registering an account, making a payment or starting to use the Software, the Customer confirms that they have read, understood and agreed to comply with all terms below.

Definitions

  • "Software": The DANIX application system, including source code, website interface, mobile application, technical documentation and updates developed and owned by Us.
  • "Customer": An individual or organization that pays to purchase a Software License.
  • "License": A time-limited, non-exclusive, non-transferable right granted by DANIX to the Customer to access and use the Software's features.
  • "Plan": A bundle of features, storage limits and usage duration (time-based subscription) selected by the Customer.

Account and Security

  • The Customer is responsible for providing accurate information upon registration.
  • The Customer is responsible for maintaining the security of their account (username, password, API Key). All activities originating from the Customer's account are the Customer's full legal responsibility.
  • DANIX is not liable for any damages arising from the Customer's disclosure of access credentials.

Payment, Delivery and Acceptance

Given the nature of a SaaS product, the handover process is governed as follows:

  • Payment: The Customer pays 100% of the Plan value before use.
  • Delivery: The Software License is considered successfully delivered as soon as the DANIX system sends an account activation confirmation to the Customer (via email or system notification).
  • Acceptance: The Customer's login and use of the Software is deemed an implicit Acceptance Certificate. The Customer confirms that the Software was functioning as committed at the time of delivery and does not require a physical acceptance document.
  • Invoice: Payment documents will be recorded as "Software license fee" or an equivalent term in compliance with software product regulations.

No-refund Policy

Unless otherwise specified in writing, fees paid for Software Licenses are non-refundable under all circumstances, including early termination by the Customer.

Acceptable Use Policy (AUP)

The Customer agrees NOT to use the Software to:

  • Distribute spam messages, engage in fraud or publish obscene or illegal content.
  • Violate community standards or policies of third-party platforms (Meta, TikTok, Zalo, Google, etc.).
  • Unauthorizedly access, sabotage or copy the Software's source code.

Violation handling: DANIX reserves the right to permanently suspend an account without prior notice and without refund upon discovery of a violation.

Updates and Feature Changes

  • DANIX is an "Evolving Software" product. We reserve the right to update, modify, add or remove certain features at any time to optimize performance or ensure system security.
  • Feature changes do not alter the fundamental nature of the License the Customer has purchased.

Intellectual Property

  • DANIX: We retain full intellectual property rights over the Software, source code and the DANIX brand. The Customer has the right to use, not to own.
  • Customer: Data uploaded to the system by the Customer belongs to the Customer.

Data Storage and Deletion

  • After the Plan expires, if the Customer does not renew within 2 years, DANIX has the right (but not the obligation) to permanently delete the Customer's data to free up server resources.
  • DANIX is not responsible for any data loss resulting from the Customer's failure to renew on time.
  • For details on automatic data deletion mechanisms and proactive deletion rights, see Privacy Policy Section 4.

Disclaimer

  • The Software is provided on an "As-is" basis. DANIX does not warrant that the Software will operate continuously without interruption or be entirely error-free.
  • DANIX disclaims all liability for errors, service interruptions or account suspensions (checkpoints) originating from third-party platforms (such as Facebook/Meta, TikTok, Zalo, e-commerce platforms, etc.) or due to changes in their policies.

Limitation of Liability

In all circumstances, DANIX's total liability to the Customer shall not exceed the value of the Plan the Customer has paid within the most recent 3 (three) months prior to the event giving rise to the damage.

Force Majeure

Both parties are exempt from liability in cases of force majeure including: natural disasters, epidemics, war, international submarine cable failures, or administrative decisions by competent state authorities that prohibit the provision or use of the software.

Governing Law and Dispute Resolution

This Agreement is governed by the laws of Vietnam. All disputes will be prioritized for resolution through negotiation. If unsuccessful, disputes will be submitted to the competent Court in Quảng Ninh for resolution.
